Welcome to Vita Digital AI. These Terms of Service ("Terms") govern your access to and use of our services, website, and applications (collectively, the "Service"). By creating an account or using our Service, you agree to be bound by these Terms.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts

Account Creation

To use Vita Digital AI, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities under your account

Account Termination

You may terminate your account at any time through your account settings. We may suspend or terminate your account if you violate these Terms or for other reasonable business or legal reasons. Upon termination:

• Your access to the Service will be revoked immediately
• Your data will be deleted according to our Privacy Policy (typically within 30 days)
• You may not be entitled to a refund for unused subscription time

4. Acceptable Use Policy

You May Use the Service To:

• Store personal information, memories, and knowledge
• Interact with the AI assistant for personal or professional purposes
• Organize and retrieve your stored information
• Share specific memories with others (if we add sharing features)

You May NOT:

• Violate Laws: Use the Service for any illegal purpose or to violate any laws
• Harm Others: Store or share content that is harmful, abusive, harassing, threatening, defamatory, or hateful
• Infringe Rights: Upload content that infringes copyright, trademark, or other intellectual property rights
• Abuse the Service: Attempt to hack, reverse engineer, or compromise the security of the Service
• Spam or Scrape: Use automated systems to access or extract data from the Service
• Impersonate: Pretend to be another person or entity
• Share Credentials: Allow others to use your account or share your login information
• Store Illegal Content: Save information related to illegal activities, child exploitation, terrorism, or violence
• Resell Access: Resell or redistribute access to the Service without authorization

Violation of this policy may result in immediate account suspension or termination.

5. Content and Intellectual Property

Your Content

You retain all rights to the content you store in Vita Digital AI (your "User Content"). By using the Service, you grant us a limited license to:

• Store, process, and display your User Content as necessary to provide the Service
• Use your User Content to improve our AI models and Service (in anonymized, aggregated form only)
• Back up your User Content to prevent data loss

This license ends when you delete your content or close your account.

Our Intellectual Property

Vita Digital AI, including its design, features, code, and branding, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Use our trademarks or branding without permission
• Reverse engineer or decompile our software

6. Pricing and Payment Terms

Free Trial

New users receive a 7-day free trial. You may cancel at any time during the trial without being charged. If you don't cancel before the trial ends, you'll be automatically charged for your chosen subscription plan.

Subscription Plans

Vita Digital AI offers monthly and annual subscription plans. By subscribing, you agree to:

• Automatic Renewal: Your subscription automatically renews at the end of each billing period
• Payment Authorization: You authorize us to charge your payment method for recurring fees
• Price Changes: We may change pricing with 30 days' notice (existing subscriptions maintain current pricing until renewal)
• Taxes: Prices exclude applicable taxes, which will be added to your bill

Payment Processing

All payments are processed securely through Stripe or other authorized payment providers. We do not store your full credit card information.

Failed Payments

If a payment fails, we will:

• Attempt to charge your payment method up to 3 times
• Notify you via email
• Suspend your access if payment is not received within 7 days
• Delete your account if payment issues are not resolved within 30 days

7. Cancellation and Refunds

Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You will continue to have access until the end of your current billing period
• Your subscription will not renew
• No partial refunds will be provided for unused time

Refund Policy

We offer refunds under limited circumstances:

• Free Trial: If you cancel during your 7-day free trial, you will not be charged
• Service Issues: If our Service experiences significant downtime or issues, we may offer prorated credits
• Billing Errors: If you were charged in error, we will refund the incorrect charge
• Discretionary Refunds: We may offer refunds on a case-by-case basis at our discretion

To request a refund, contact support@vitadigital.ai within 30 days of the charge.

8. AI and Data Usage

AI-Generated Content

Our Service uses AI to generate responses based on your stored memories. You understand that:

• AI responses may not always be accurate or complete
• You should verify important information independently
• AI output does not constitute professional advice (legal, medical, financial, etc.)
• We are not responsible for decisions you make based on AI responses

Third-Party AI Providers

We use third-party AI services (such as OpenAI, Anthropic) to power conversations. Your chat data is sent to these providers, which have their own terms and privacy policies. We select providers with strong privacy practices but cannot control their data handling.

Model Improvement

We may use anonymized, aggregated usage data to improve our Service. We never use your personal memories to train public AI models without your explicit consent.

9. Service Availability and Support

Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may take the Service down for:

• Scheduled maintenance (with advance notice)
• Emergency security updates
• Technical issues beyond our control

Support

We provide email support to all users. Premium plans may receive priority support. We aim to respond within 48 hours but do not guarantee response times.

10. Disclaimers and Limitations of Liability

Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

No Professional Advice

Vita Digital AI is not a substitute for professional advice. AI responses do not constitute legal, medical, financial, or other professional advice. Always consult qualified professionals for important decisions.

Data Loss

While we implement robust backup systems, we cannot guarantee against data loss. You are responsible for maintaining your own backups of critical information.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITA DIGITAL AI AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Service interruptions or data loss
• Any damages exceeding the amount you paid us in the 12 months before the claim

Some jurisdictions do not allow these limitations, so they may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Vita Digital AI, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your User Content

12. Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at legal@vitadigital.ai to attempt to resolve the dispute informally. We will work with you in good faith to find a resolution.

Arbitration

If we cannot resolve a dispute informally, any claims will be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if they qualify.

Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in class action lawsuits or class-wide arbitration.

Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles.

13. Changes to These Terms

We may update these Terms from time to time. When we make significant changes:

Our failure to enforce any provision does not waive our right to enforce it later.

Assignment

You may not transfer your rights under these Terms without our consent. We may transfer our rights to any affiliate or successor.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (e.g., natural disasters, war, pandemics, internet outages).

15. Export Controls

You agree to comply with all applicable export laws and regulations. You may not use the Service if you are in a country subject to a U.S. government embargo or on a U.S. government list of prohibited parties.
